The publication surveys the corporate governance landscape and sets out recommendations from the Latin American Corporate Governance Institutes network across eight key issues relevant to board effectiveness: board duties, handling of conflicts of interest, selection and structure criteria, criteria for independence, board committees, Chairman/CEO separation, board risk management, and board evaluation. It was prepared by the OECD for the Latin American Roundtable on Corporate Governance with the support of the Global Corporate Governance Forum.
