Headaches, Concerns, and Regrets: What Does the Experience of 102 Brazilian Directors Tell Us?

Private Sector Opinion 39: This paper takes a look inside the functioning of the modern corporate board “black box.” Using results of an anonymous online survey, it investigates the experiences and behavior of 102 Brazilian directors—from an individual perspective as well as from a group one. To gain insight into what goes on in directors’ minds, the authors adopted a behavioral approach based on extensive literature regarding cognitive biases and group dynamics.

OECD Guidelines on Corporate Governance of State-Owned Enterprises (Vietnamese and English)

State-owned enterprises face unique corporate governance challenges. This publication presents OECD’s Guidelines on Corporate Governance of SOEs, 2015 edition, as a result of the contributions of experienced policy-makers and practitioners from a large number of OECD and non-OECD countries. The Vietnamese translation of this work is provided by the Vietnam Corporate Governance Project of IFC.

The Latin American Companies Circle Fact Sheet, March 2017

The Global Risk Management Advisory Program of IFC’s Financial Institutions Group developed this handbook on how risk culture, governance, and incentive mechanisms within financial institutions impact risk management effectiveness and capability. The study aims to bring new insights to this subject for financial institutions in emerging markets, namely defining specific factors that are indicators of culture, governance, and incentives in an effective risk management framework; establishing a “maturity matrix” to benchmark these factors; and identify gaps.
