Project Services


Target Audiences of the Project are:

  • Ukrainian commercial banks;
  • Non-Governmental Organizations involved in the banking sector;
  • Representatives from Government Agencies and Legislative Bodies.

The Ukraine Banking Corporate Governance Project offers its services in the way of:

Open Seminars

Seminars are targeted to train bank management and board members in corporate governance best practices. The seminars will be held for different hierarchical levels: Supervisory Board, Management Board, and middle management, especially credit officers.

Seminar topics are applied to corporate governance best practices, including:
  • Corporate governance structures and relationships between boards, management and shareholders;
  • Transparency and disclosure (e.g. third party transactions, conflicts of interest, beneficial owners);
  • Internal controls and audit procedures;
  • Credit risk management, including the use of corporate governance as a means to assess risk; and,
  • Strategic planning and budgeting.

The Project also plans to organize special events for Board Members with selected top representatives from foreign banks and multilateral institutions for an informal exchange of views and experience (along the lines of a guest-speaker series).

Consultations and Workshops

Banks are welcome to call upon Project experts for additional, more specific information, in the form of closed workshops and review of internal documents and practices.
The Project uses an individual approach and offers special consultations on specific problems of corporate governance.

Pilot Program

Selected banks, after demonstrating their commitment to real improvements in corporate governance practices, can apply to participate in a comprehensive program tailored to the specific needs of the individual bank.
The program uses a step-by-step process.

Step 2: Client Self-Assessment
Step 3: Corporate Governance Review
Step 4: Corporate Governance Improvement Program
Step 5: Documentation and Implementation
Step 6: Supervision

The program starts with a thorough assessment of the bank's governance practices including a review of internal documents, structures and processes. The results of the assessment will then determine the next steps which could include but are not limited to:
  • overhaul key internal documents to bring them in line with international best standards;
  • assist in organizing shareholder meetings;
  • provide internal training to staff and board members;
  • advise on effective corporate structures; and,
  • improve the bank's risk management process.

The Project will select up to eight banks for the pilot program. Except for open seminars, all Project services will be chargeable.

The Project works with banking and related associations to strengthen their activities and improve their client base, thereby creating sustainability and promoting self-regulatory initiatives.
Associations of banks and other non-governmental organizations are welcome to call upon Project experts for training of staff members on corporate governance practices.

Together with the associations, the Project may identify possible areas of self-regulation in the banking sector and advise the organizations in the most effective set-up and implementation of such initiatives.

The Project welcomes feedback from the banking sector on legislative reform efforts to ensure more rational laws and private sector buy-in, with a view to increasing compliance. The Project will assist in providing comments on new draft laws and regulations, information on legislation in other countries, and international best practices.
The work of the Project in this regard is driven by demand for assistance and advice from both the banks and the local legislative authorities.
