Direct Assistance to Russian Credit and Lending Institutions

Public Seminars
Our public seminars are targeted to Members of Supervisory Boards, Management Boards, and middle management, especially credit officers, internal auditors and corporate secretaries. Topics are geared towards issues of corporate governance best practices, including:

  • Corporate governance structures and relationships between boards, management and shareholders
  • Transparency and disclosure (e.g. third party transactions, conflicts of interest, beneficial owners)
  • Internal controls and audit procedures
  • Risk management framework, including the use of corporate governance as a means to assess risk
  • Strategic planning and budgeting, etc.
Consultations
Banks are welcome to call upon project experts for additional, more specific information or reviews of internal documents and practices. We offer individual consultations or workshops on specific problems of corporate governance.

Pilot Program
After demonstrating their commitment to real improvements of their corporate governance practices, select banks can apply to participate in a comprehensive program tailored to their specific and individual needs. The pilot program starts with a thorough assessment of the bank's governance practices, which determines the next steps, and typically lasts for a period of four to six months for each bank. The program comprises:
  • the overhaul of key internal documents to bring them in line with international best standards;
  • providing internal training to staff and board members;
  • advising on effective corporate structures; and
  • making improvements to the bank’s risk management process.
Support of Non-Governmental Organizations
Associations of banks and other non-governmental organizations can call on our experts for advice on governance related legislation and international best practices, for in-house training sessions or as speaker at public seminars. We encourage any self-regulatory initiatives and will support associations in identifying and drafting possible areas of self-regulation in the banking sector.

We assist government agencies, legislative authorities and regulators in drafting new laws and regulations, providing information on practices in other countries and updates on latest trends on corporate governance.
