"Corporate Governance is the system by which companies are directed and controlled"
The principal objective of a business enterprise is to generate economic returns to its owners. Good corporate governance practices provide an important framework for a timely response by a corporation's supervisory board to situations that may directly affect stockholder value. The absence of good corporate governance, even if a corporation that is performing well, may indicate vulnerability for stockholders because the corporation is not in a position to deal with financial or management challenges that may arise. The substance of good corporate governance is more important than its form, that is: adoption of a set of rules or principals or of any particular practice or policy is not a substitute for and does not itself assure, good corporate governance.
The Georgian Business Development Project works with Joint Stock Companies to develop and improve their corporate governance with seminars, workshops and individual consultations. Good corporate governance helps in improving investment climate, attract foreign capital, provide incentive structures and principals of trust as a basic of sustained economic growth.
