Global Leadership
The Corporate Governance Unit of IFC Department of Corporate Advice leads IFC's participation in the global dialogue on corporate governance and provides occasional free-standing technical assistance. These activities include:
- Supporting IFC and World Bank external activities in the area of corporate governance, including the Global Corporate Governance Forum and the OECD/World Bank Group Regional Roundtables on Corporate Governance.
- Serving as the secretariat to the Forum's Private Sector Advisory Group on Corporate Governance, an association of company leaders, institutional investors, professionals and experts dedicated to fostering improvement of corporate governance standards in developing countries.
- Supporting the Corporate Governance Projects of IFC's Private Enterprise Partnerships in the former Soviet Union and elsewhere.
- Providing free-standing technical assistance in corporate governance to governments, stock exchanges, institutes of directors and other entities committed to raising corporate governance standards in client countries.
Operational Support
The Corporate Governance Unit provides IFC investment staff with the tools and training to evaluate the corporate governance of client companies, recommend improvement programs and benchmarks, and help client companies implement best practices. Its principal activities include:
- Developing the corporate governance appraisal methodology for IFC client companies, elaborating CG Tools on corporate governance, and conducting IFC Investment Staff Training on corporate governance.
- Participating in IFC investment operations (due diligence) when corporate governance issues are identified as a particularly important concern of appraisal.
- Providing advice to IFC clients when identified as a key part of IFC value-added to the operation.
- Leading IFC's Corporate Governance Working Group.
- Advising IFC senior management on nominations of directors to the Boards of investee companies and conducting Director Training programs for IFC-nominated members of Boards of investee companies.

DARRIN HARTZLER, Manager

Before joining IFC's Washington based Corporate Governance Unit, Darrin managed the corporate governance program for IFC's Private Enterprise Partnership in the former Soviet Union. This program consists of large donor-funded technical assistance projects in Ukraine, Russia and Armenia providing assistance to regulators working to improve national corporate governance regimes, and to newly privatized firms seeking capital. Prior to joining IFC, Darrin worked for a private company helping Russian companies access North American capital and then on Ukraine's mass privatization program as a consultant. Darrin is now working throughout the world, but with particular responsibility for projects in Eastern Europe.
SANAA ABOUZAID , Corporate Governance Officer

Sanaa works together with the other members of the Corporate Governance Unit of IFC on investment operations when corporate governance issues are identified as an important risk factor or when opportunities for development impact are great. She also provides technical assistance in corporate governance to IFC investee companies to add value to the investment operation. Sanaa participates to the training of IFC investment officers on the corporate governance methodology. Sanaa's previous corporate governance experience includes working as an auditor in emerging markets.
DAVIT KARAPETYAN, Corporate Governance Officer

Before joining the Department of Corporate Advice, Davit was involved in implementing and managing corporate governance technical assistance projects for IFC's Private Enterprise Partnership in Armenia and Russia. In particular, in Russia Davit adapted the IFC’s Corporate Governance methodology to specifics of the Russian market and applied it to assess corporate governance practices in several Russian companies. Davit also holds a Ph D in Civil Procedure from the leading Armenian University and is currently writing a Ph D thesis on Corporate Governance at the University of Leiden in the Netherlands.
MAXINE GARVEY, Senior Corporate Governance Officer

Prior to joining the International Finance Corporation, Dr. Garvey worked as a management consultant with Analysis Group (New York), AT. Kearney (Toronto), and PriceWaterhouseCoopers (Kingston). She provided advisory services in financial management and strategy and has worked with firms in a wide range of industries, including financial services, telecommunications and retail. Dr. Garvey has also taught strategy, finance and international business at the Mona School of Business at the University of the West Indies (UWI) and at New York University. In addition, she has worked as a manager in industry and conducted corporate governance training for directors in the Caribbean, South Pacific, and Africa. She holds a PhD (Strategy) and a MBA (Finance) from New York University and a M.Sc. (Accounting)
and B.Sc. (Chemistry) from UWI and is member of the American Institute of Certified Public Accountants and the Academy of Management.
ROMAN ZYLA, Corporate Governance Officer

Upon joining IFC, Roman was the project manager of a field-based corporate governance project in Ukraine. The donor-funded technical assistance project provided advisory services to more than 2800 Ukrainian firms, including several IFC clients, looking to improve their corporate governance and financial management practices. His current remit with the corporate governance department is to review the corporate governance methodology as applied to state owned enterprises, and to focus on sub-Saharan African clients. Before joining IFC, Roman completed his PhD on the development of SMEs in post socialist economies from University of London, University College, and he served on the board of a family-owned company.
CHUCK CANFIELD, Senior Corporate Governance Officer

CPA, J.D., Illinois, has a Bachelor of Science in accounting from Elmhurst College, Chicago, Illinois, USA and a Juris Doctor with a concentration in International Law from Northwestern University. Chuck has over eighteen years professional experience in accounting, consulting and law, with eleven years of that spent in emerging markets. Chuck has assisted these countries implement international best practices related to corporate governance, and has drafted legislation in four separate republics. In addition, Chuck has experience as an auditor and tax advisor with international accounting firms as well as legal experience as a corporate and securities attorney. Chuck's most recent assignment was that of Project Manager for the field-based IFC Azerbaijan Corporate Governance Project from July 2004 to December 2007.
VLADISLAVA (SLAVA) RYABOTA, Corporate Governance Officer

Vladislava (Slava) graduated from the Law Faculty of Kyiv National Taras Shevchenko University in 1993. She continued her education at Essex University, Great Britain. After returning to Ukraine Slava worked as a lawyer in a law firm. She joined IFC in 1997 and worked in a number of corporate governance advisory projects in Ukraine. Prior to joining the IFC Department of Corporate Advice she worked for IFC's Private Enterprise Partnership where she was responsible for assisting other advisory projects covering Russia, Ukraine, Georgia, Azerbaijan, Tajikistan, the Kyrgyz Republic and Kazakhstan. Slava holds a PhD on mergers and acquisitions and is a mediator accredited by the Centre for Effective Dispute Resolution (CEDR), Great Britain. She is a professional trainer and the author of two books and more than 50 articles on corporate governance, commercial law and mediation.
ZHAOWEN (Maggie) LIN, Corporate Governance Officer

Zhaowen (Maggie) Lin holds a Bachelor of Law and a Bachelor of Engineering from Tsinghua University, China, and a Master of Law from Bristol University, United Kingdom. Prior to joining IFC, Maggie used to work in Hong Kong for Allen & Overy, and then as a senior associate with Herbert Smith, both international legal practice. Maggie has 8 years experience in corporate legal services and she has actively involved in several IPO projects on advising issuers and underwriters. Maggie has extensive experience in corporate level work and thorough understanding of corporate governance from commercial concern.
