Project Services

1. WORKING WITH JOINT-STOCK COMPANIES AND BANKS

To help private companies and banks improve governance practices, the project works in three different ways:

  • Seminars and workshops on the legal and financial aspects of corporate governance, which are open to all joint-stock companies and banks,
  • Individual consultations, upon request by companies and banks, focusing on their specific needs,
  • A specially designed Pilot Program for select companies, entailing in-depth evaluation and recommendations to improve corporate governance.



Public seminars
Our public seminars are targeted to managers, supervisory board members and shareholders. Topics are geared towards issues of corporate governance best practices, including:
  • Corporate governance structures and relationships between boards, management and shareholders
  • Transparency and disclosure (e.g. third party transactions, conflicts of interest, beneficial owners)
  • Internal controls and audit procedures
  • Risk management framework, including the use of corporate governance as a means to assess risk
  • Strategic planning and budgeting, etc.

Consultations
Joint-stock companies, including banks, are invited to contact experts on the Central Asia Corporate Governance Project for additional, more specific information, in the form of workshops on select topics and individual consultations.

Pilot Program
The goal of the Pilot Program consists of carrying out comprehensive assessment of existing corporate governance practices in joint-stock companies and assisting them in corporate governance improvement in accordance with best international practices in order to enhance their management efficiency and increase their investment attractiveness.

The selected companies and banks will receive within the Pilot Program the following services:
  • Assessment of their corporate governance practices;
  • Consultations on improving corporate governance practices, including modifications to structures and relationships between the Board of Directors, the Executive Board, shareholders and other companies’ bodies;
  • Technical assistance in revising corporate documents in order to bring them in line with countries legislation and international practices;
  • Technical assistance in preparing transparent and meaningful financial reports.

2. DEVELOPING THE LEGAL FRAMEWORK
To improve the legislative framework related to corporate governance the Project’s experts work on:
  • Developing specific policy recommendations and advising the Governments of Kazakhstan, Kyrgyz Republic and Tajikistan on improving corporate governance-related regulations;
  • Facilitating a public-private sector dialogue on regulatory and legislative issues related to corporate governance;
  • Providing information on legislation in other countries and international best practices.

3. WORK WITH EDUCATIONAL INSTITUTIONS
To help develop corporate governance programs targeted to the needs of the next generation of business leaders, including:
  • Assisting with the drafting and implementation of training programs and curriculum on corporate governance;
  • Help in developing corporate governance case studies;
  • Train-the-trainer sessions for professors.

4. WORK WITH MASS MEDIA
To provide a national public education campaign to raise awareness about corporate governance among Central Asian population and shareholder base, including:
  • Holding round table discussions with journalists and issuing press releases;
  • Publishing and disseminating a periodical bulletin devoted to corporate governance issues;
  • Delivering training events and seminars for journalists and partner organizations.
